Terms and Conditions

These Terms & Conditions apply to training, coaching and related professional services provided by Whys2Wise.

By making a booking, accepting a quotation, paying an invoice or participating in a Whys2Wise service, the client agrees to these Terms & Conditions.

Where a booking is made by an organisation on behalf of its employees, workers or other participants, the organisation is responsible for ensuring that relevant participants are made aware of any terms that apply to their participation.

1. About Whys2Wise

Whys2Wise provides professional training and development services, specialising in residential childcare.

Our training is designed to develop knowledge, understanding, reflection and professional practice through live delivery, discussion, scenarios, participation and individual learning validation.

Unless expressly stated otherwise, Whys2Wise training is professional development and does not constitute a regulated qualification or replace any qualification, statutory training or specialist certification that an employer is legally required to obtain.

2. Bookings

A booking is considered confirmed when Whys2Wise has accepted the booking and provided written confirmation, an invoice or other confirmation of the agreed service.

The client is responsible for checking that the course, date, time, participant numbers and other booking information are correct.

Any requested changes should be communicated as soon as possible and are subject to availability.

3. Prices and Payment

Prices will be those stated on the Whys2Wise website, booking system, quotation, proposal or invoice applicable to the booking.

Unless otherwise agreed in writing, payment must be made within the payment period shown on the invoice.

Whys2Wise may require full or partial payment in advance and may decline to deliver training where payment that was required before delivery remains outstanding.

For qualifying business-to-business transactions, Whys2Wise reserves the right to claim statutory interest, compensation and reasonable recovery costs on overdue payments in accordance with applicable late-payment legislation.

The client remains responsible for payment where participants fail to attend unless a refund or cancellation right applies under these terms or applicable law.

4. Cancellations, Rescheduling and Refunds

Cancellations and requests to rearrange training should be made in writing as early as possible.

Our separate Cancellation & Refund Policy forms part of these Terms & Conditions.

Where a cancellation charge applies, any amount retained or charged will be reasonable and proportionate to the loss suffered by Whys2Wise as a result of the cancellation.

Where appropriate, we may offer transfer to another available date rather than cancellation.

Repeated requests to rearrange the same booking may be treated as a cancellation.

Nothing in these terms affects statutory rights that cannot legally be excluded or restricted.

5. Participant Substitutions

For organisation bookings, participants may normally be substituted before training begins at no additional cost, provided the replacement participant is appropriate for the course.

Participant substitutions should be communicated to Whys2Wise wherever reasonably possible so that attendance, validation and certification records remain accurate.

Certificates cannot be transferred between participants.

6. Attendance and Participation

Whys2Wise training is designed to be interactive.

Participants are expected to attend the scheduled session, engage appropriately with the trainer and learning activities and participate sufficiently to meet the requirements of the course.

Participants who arrive substantially late, leave early or fail to participate sufficiently may not be considered to have completed the training.

Whys2Wise reserves the right to refuse certification where attendance or participation has been insufficient.

7. Learning Validation and Certification

Whys2Wise operates a learning validation model:

Attend → Participate → Reflect → Validate → Certify

Attendance alone does not automatically result in certification.

Where required by the course, each participant must complete an individual Learning Validation and Reflection or other assessment activity.

Responses are reviewed by Whys2Wise to determine whether the participant has demonstrated sufficient understanding of the learning.

Certification will only be issued when the applicable attendance, participation and validation requirements have been satisfactorily completed.

If a participant has not demonstrated sufficient understanding, Whys2Wise may provide additional guidance or a complimentary follow-up session and allow the participant another opportunity to complete the validation process.

A participant's failure to complete the required validation, attend offered support or demonstrate the required understanding does not automatically entitle the participant or booking organisation to a refund.

Whys2Wise will never guarantee certification simply because a course has been paid for.

8. Certificates

Certificates issued by Whys2Wise evidence completion of the relevant Whys2Wise training and validation requirements.

They must not be altered, falsified, transferred to another person or represented as evidence of a qualification, accreditation or competence beyond that stated on the certificate.

Whys2Wise may refuse, withdraw or correct a certificate where it has been issued on the basis of inaccurate information, administrative error, impersonation, academic dishonesty or other misuse.

9. Professional Responsibility

Whys2Wise training is intended to support and develop professional practice.

Training does not replace:

  • an employer's policies and procedures

  • safeguarding or child protection procedures

  • statutory responsibilities

  • individual risk assessments

  • professional supervision

  • legal advice

  • clinical or medical advice

  • advice from a Local Authority, regulator or safeguarding partnership

  • the professional judgement required in individual situations

Participants and organisations remain responsible for ensuring that their practice complies with current legislation, statutory guidance, organisational procedures and regulatory requirements applicable to their service.

Where there is any conflict between training discussion and a legal, safeguarding or regulatory requirement, the applicable legal or statutory requirement takes precedence.

10. Safeguarding

Safeguarding is central to Whys2Wise training.

Training discussions may involve realistic safeguarding situations, professional experiences and case scenarios.

Participants must not unnecessarily disclose information that could identify a child, young person, family member, colleague or other individual.

Examples from practice should be anonymised wherever possible.

If information is disclosed during training that gives rise to a genuine safeguarding concern, Whys2Wise reserves the right to take appropriate action, including sharing relevant information where necessary to protect a child or other person or where required by law.

Confidentiality cannot be guaranteed where maintaining confidentiality would conflict with a safeguarding or legal obligation.

11. Participant Conduct

Participants are expected to behave professionally and respectfully.

Whys2Wise may remove a participant from a session where their behaviour is abusive, discriminatory, threatening, persistently disruptive or otherwise makes safe and effective delivery unreasonable.

No refund will normally be provided where removal results from serious or persistent misconduct by the participant.

12. Online Training

Participants attending remotely are responsible for having:

  • a suitable internet connection

  • a compatible device

  • working audio where participation requires it

  • access to the agreed meeting platform

  • an appropriate environment from which to participate

Whys2Wise is not responsible for technical problems arising from a participant's equipment, internet connection, network restrictions or local environment.

Where a significant technical problem originating from Whys2Wise prevents effective delivery, we will take reasonable steps to resume, rearrange or otherwise provide the affected training.

13. Cameras, Identity and Engagement

Where reasonably necessary for participation, safeguarding, identity verification or learning validation, participants may be asked to use their camera, microphone or other interactive functions.

Reasonable adjustments will be considered where a participant cannot meet a particular requirement because of disability, accessibility needs or another legitimate reason.

Clients should inform Whys2Wise of relevant accessibility requirements as early as reasonably possible.

14. Recording Training Sessions

Participants and clients must not audio record, video record, photograph, screen-record or otherwise reproduce Whys2Wise training sessions without prior written permission.

This protects participants, confidential discussion, intellectual property and safeguarding information.

Whys2Wise will not record a session for general use without appropriate notice and, where required, consent.

15. Intellectual Property

Unless otherwise stated, all Whys2Wise course materials, presentations, resources, worksheets, learning activities, graphics, course structures, written content and training materials remain the intellectual property of Whys2Wise or their respective rights holders.

Materials supplied to participants are for their personal professional development and internal use only.

They must not be:

  • reproduced for commercial purposes

  • sold or redistributed

  • uploaded publicly

  • used to deliver another training course

  • substantially copied or adapted into competing training materials

  • shared outside the booking organisation without permission

without prior written permission from Whys2Wise.

The purchase of training does not transfer ownership of Whys2Wise intellectual property.

16. Course Content

Whys2Wise regularly reviews and develops its training.

We may make reasonable changes to course content, learning activities, examples, materials or delivery methods to maintain quality, relevance and accuracy.

Such changes will not materially reduce the overall purpose or value of the course.

17. Trainers

Whys2Wise may use appropriately experienced trainers, associates or specialists to deliver services.

Where circumstances require a change of trainer, Whys2Wise may provide a suitable alternative without this constituting cancellation of the booking.

18. Training Outcomes

Whys2Wise is committed to delivering training with reasonable care and skill.

However, professional development depends partly on participant engagement, organisational culture, management support and the subsequent application of learning.

We therefore cannot guarantee particular inspection outcomes, regulatory judgements, employee performance, organisational results or outcomes for individual children or young people as a consequence of attending training.

19. Ofsted and Regulatory References

Where training discusses Ofsted, regulations, statutory guidance, quality standards or other regulatory expectations, this is intended to help practitioners understand and apply relevant requirements.

Unless expressly stated otherwise, Whys2Wise is independent and is not affiliated with, endorsed by or acting on behalf of Ofsted or any government department or regulator.

References to inspection or regulatory expectations do not constitute a guarantee regarding the outcome of any inspection.

20. Confidentiality

Whys2Wise respects the confidential nature of professional discussions during training and coaching.

Participants and clients are also expected to respect the confidentiality of other participants.

This obligation does not apply where disclosure is required by law, necessary for safeguarding or required to protect the rights or safety of another person.

21. Data Protection

Whys2Wise may process personal information including names, contact details, attendance records, validation responses and certification information where necessary to administer bookings, deliver training, assess learning, issue certificates and maintain appropriate records.

Personal information will be handled in accordance with applicable data protection law and the Whys2Wise Privacy Policy.

Clients making bookings on behalf of participants are responsible for ensuring that they have an appropriate basis for providing necessary participant information to Whys2Wise.

22. Complaints

If a client or participant is dissatisfied with any aspect of a Whys2Wise service, they should contact us as soon as reasonably possible.

We will consider complaints fairly and aim to resolve concerns informally wherever appropriate.

Making a complaint does not affect any statutory rights.

23. Cancellation by Whys2Wise

Whys2Wise may occasionally need to cancel or rearrange training because of illness, emergency, technical failure or circumstances outside our reasonable control.

Where this occurs, we will normally offer an alternative date.

If Whys2Wise cancels a service and cannot provide a reasonable alternative, payments relating to the undelivered service will be refunded.

Whys2Wise will not be responsible for indirect or consequential costs incurred by the client as a result of cancellation, except where liability cannot legally be excluded.

24. Events Outside Our Reasonable Control

Whys2Wise will not be responsible for delay or failure to perform obligations caused by circumstances outside our reasonable control.

These may include serious illness, widespread internet or telecommunications failure, natural disasters, government restrictions, industrial action, major platform outages or other exceptional events.

Where such circumstances affect delivery, we will make reasonable efforts to rearrange or provide an appropriate alternative.

25. Liability

Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to those exceptions, Whys2Wise will not be responsible for indirect or consequential losses arising from the use or application of training content.

For business clients, Whys2Wise's total liability arising from a particular booking will ordinarily be limited to the total amount paid or payable to Whys2Wise for the service giving rise to the claim, to the extent such a limitation is lawful and reasonable.

Nothing in these terms affects statutory rights that cannot legally be excluded or limited.

26. Consumer Bookings

Whys2Wise primarily provides services to organisations and professionals.

Where an individual purchases a service wholly or mainly for purposes outside their trade, business, craft or profession, they may be treated as a consumer and additional statutory rights may apply.

Nothing in these Terms & Conditions is intended to remove or restrict those rights.

Where applicable, information regarding statutory cancellation rights will be provided in accordance with UK consumer law.

27. Changes to These Terms

Whys2Wise may update these Terms & Conditions periodically to reflect changes to our services, business practices or legal requirements.

The terms applying to a confirmed booking will normally be those in force when the booking was made unless a change is required by law or is expressly agreed between the parties.

28. Severability

If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions will continue in effect.

29. Waiver

If Whys2Wise does not immediately enforce a right under these terms, this does not mean that right has been waived.

30. Entire Agreement

For business clients, these Terms & Conditions together with the relevant booking confirmation, quotation, invoice and any expressly incorporated policies form the agreement between Whys2Wise and the client in relation to the booked services.

Where specifically agreed written terms conflict with these general Terms & Conditions, the specifically agreed terms will take precedence to the extent of that conflict.

31. Governing Law and Jurisdiction

These Terms & Conditions and any dispute or claim arising from them are governed by the laws of England and Wales.

For business-to-business contracts, the courts of England and Wales will have exclusive jurisdiction, unless otherwise agreed in writing.

Consumers retain any rights regarding jurisdiction that applicable consumer law provides.
